1. Agreement to Terms

These Terms of Service ("Terms") govern your use of iProDash CRM ("Service"), a field operations management platform operated by iProDash ("Company," "we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

iProDash CRM is a comprehensive field operations management platform that provides:

  • Job Management: Create, assign, and track field service jobs
  • Technician Management: Manage technician assignments, schedules, and performance
  • Financial Tracking: Calculate profits, track costs, and generate financial reports
  • Reporting: Generate PDF reports and analytics for business operations
  • Communication: SMS notifications and email communications
  • Multi-User Support: Role-based access control for team collaboration

The Service is provided as a Software-as-a-Service (SaaS) platform accessible through web browsers and mobile devices.

3. User Accounts and Registration

3.1 Account Creation

To use our Service, you must create an account by providing accurate and complete information including your name, email address, phone number, and company details.

3.2 Account Verification

All accounts require verification through email confirmation. Company admin accounts must be approved before full access is granted to the Service.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.4 Account Types

  • Company Admin: Full access to all features and user management
  • Regular User: Access to assigned features based on role permissions
4. Subscription Terms and Billing

4.1 Pricing Structure

  • Base License: $299 per year (includes 1 admin user)
  • Additional Seats: $49 per user per year
  • Features: Unlimited jobs, reports, technician management, and email/chat support

4.2 Free Trial

New subscriptions include a 30-day free trial period. During the trial, you have full access to all features. No payment is required until the trial period ends.

4.3 Billing and Payment

  • All payments are processed through Stripe
  • Subscriptions are billed annually in advance
  • Payment is due immediately upon trial expiration
  • Failed payments may result in service suspension
  • All fees are non-refundable except as required by law

4.4 Subscription Changes

You may add or remove seats at any time through your billing portal. Changes will be prorated and reflected in your next billing cycle.

4.5 Cancellation

You may cancel your subscription at any time through your billing portal. Cancellation will take effect at the end of your current billing period. No refunds will be provided for unused portions of your subscription.

5. Acceptable Use Policy

You agree not to use the Service for any unlawful or prohibited activities, including:

  • Violating any applicable laws or regulations
  • Transmitting harmful, threatening, or offensive content
  • Attempting to gain unauthorized access to the Service or other systems
  • Interfering with or disrupting the Service or servers
  • Using the Service to send spam or unsolicited communications
  • Reverse engineering, decompiling, or disassembling the Service
  • Sharing account credentials with unauthorized users
  • Uploading malicious code or attempting to compromise system security

We reserve the right to suspend or terminate accounts that violate these terms.

6. Intellectual Property Rights

6.1 Service Ownership

The Service and its original content, features, and functionality are owned by iProDash and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Data

You retain ownership of all data you input into the Service. By using the Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Service to you.

6.3 Feedback

Any feedback, comments, or suggestions you provide regarding the Service may be used by us without any obligation to compensate you.

7. Data and Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use the Service. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

We implement appropriate security measures to protect your data, including encryption, access controls, and secure data transmission. However, no method of transmission over the internet is 100% secure.

8. Service Availability and Limitations

8.1 Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

8.2 Data Accuracy

While we strive for accuracy, we cannot guarantee that all information in the Service is complete, accurate, or up-to-date. You are responsible for verifying the accuracy of your data.

8.3 Third-Party Services

Our Service integrates with third-party services (Stripe, Telnyx, Resend, Google Maps). We are not responsible for the availability, accuracy, or functionality of these services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPRODASH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL IPRODASH'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO IPRODASH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

10. Termination

10.1 Termination by You

You may terminate your account at any time by canceling your subscription through your billing portal or contacting us directly.

10.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for any reason, including if you breach these Terms or engage in prohibited activities.

10.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your account and data, though we may retain certain information as required by law or for legitimate business purposes.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

11.2 Dispute Resolution

We may also notify you via email or through the Service. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and iProDash regarding the Service.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent.
